RULES OF SALE AND PURCHASE

1. BASIC CONCEPTS OF THE RULES
  1. Seller - the legal entity MB "Grilių centras", legal entity code: 304749060, registration address: Europos pr. 34-47, Kaunas, whose goods are sold on the website www.griliai.lt in accordance with these Terms and Conditions of Sale and which is responsible for the execution of the order placed by the Buyer (hereinafter referred to as the Seller).
  2. Buyer - a natural and legal person with legal capacity who has placed an order for goods in the manner and in the manner set out in these Terms and Conditions and who is responsible for the acceptance and payment of the goods ordered from the Seller (hereinafter referred to as the "Buyer") (hereinafter referred to collectively as the "Parties").
  3. Terms and Conditions - these Terms and Conditions of Sale and Purchase, which shall apply to each and every purchase by the Buyer www.griliai.lt and to every contract of sale concluded between the Buyer and the Seller.
  4. Order - An order for Goods which specifies the Goods the Buyer wishes to purchase from the Seller www.griliai.lt published by the Buyer (the "Goods"), shall be specified in the same order.
  5. Privacy Policy https://www.griliai.lt/pages/privatumo-politika a document approved on the website by the Seller MB "Grillus centras", which provides the basic rules for the collection, collection, processing and storage of Personal Data when using the www.griliai.lt. Before purchasing the Goods and entering into the Contract, the Buyer shall carefully read the Seller's policy on the processing of personal data.
  6. Contract - The Buyer and the Seller shall enter into a contract for the sale of the relevant Goods, which shall be deemed to have been concluded as from the moment of confirmation of the Order, i.e. the placing of the Order. The terms of each Contract entered into between the Buyer and the Seller shall be deemed to be identical to the terms of these Terms and Conditions and such Contracts shall at all times be enforceable by the parties in accordance with these Terms and Conditions.
  7. Personal Data any information provided to the Seller for the purposes of the execution of an Order or for communication purposes, about a natural person and, or a natural person representing a legal person, who can be identified directly and, or indirectly, identified and, or linked to a specific person by name, surname, personal identification number, location data, internet identifier and, or contact details and, or others.
      2. GENERAL PROVISIONS
  1. The Buyer acknowledges these Terms and Conditions by reading them and by ticking the box next to the statement "I have read and accept the Terms and Conditions of Sale and Purchase". The Terms and Conditions thus approved shall constitute a binding legal document for the Parties, setting out the rights and obligations of the Buyer and the Seller, the conditions for the purchase of the Goods and payment for them, the procedure for the delivery and return of the Goods, the liability of the Parties, and any other terms and conditions relating to the purchase - sale of the Goods.
  2. The Buyer, by creating an account www.griliai.lt, accept the Terms and Conditions at the time of first registration, which shall apply to all purchases made by the Buyer from the Seller. If the Terms and Conditions are updated, they shall apply from the date of their publication www.griliai.lt the moment of their publication. If the Buyer wishes to purchase the Goods without creating an account www.griliai.lt, the Buyer confirms the Terms and Conditions at the time of placing the Order in accordance with the procedure set out in Clause 8 of the Terms and Conditions.
  3. In case of need or circumstances provided for by law, the Seller shall have the right to unilaterally amend or supplement the Terms and Conditions. Buyers will be informed of this when logging into the Account or when making a new purchase of Goods from the Seller.
  4. The Buyer must consult the Privacy Policy published on the Seller's website when placing an Order. The Buyer's Personal Data will be processed in accordance with the procedures set out in the Seller's Privacy Policy and these Terms and Conditions, and in accordance with the security obligations regarding the security of personal data.
    3. RIGHTS AND OBLIGATIONS OF THE PARTIES
    1. The Buyer shall have the right to order the Goods, to refuse the Order, to replace or return the Goods, to withdraw from the Purchase and Sale Contract, in accordance with the procedures set out in these Rules. The Buyer shall also have the rights granted to the Buyer under the legislation of the Republic of Lithuania.
    2. The Buyer undertakes to comply with the requirements and procedures of these Terms and Conditions, the Privacy Policy, and other www.griliai.lt and other terms and conditions expressly stated at the time of placing an Order www.griliai.lt website, and the requirements of the legislation of the Republic of Lithuania applicable to the Buyer.
    3. The Buyer shall be obliged to pay the Seller for the ordered Goods in due time and in due manner and to accept the Goods delivered or otherwise made available to the Buyer in accordance with the procedure set out in these Rules.
    4. If the Buyer chooses to collect the Goods from the Seller's shop, the Buyer shall collect the Goods from the chosen Shop within the time limits set out in the Terms and Conditions.
    5. The Seller shall have the right to cancel the Buyer's order without prior notice if the Buyer fails to pay for the Goods within 3 (three) working days from the date of placing and confirmation of the Order, or fails to pay for the Goods at the time of delivery (if the Buyer has chosen such method of payment).
    6. Where the Buyer chooses to pay for the Goods at the time of delivery of the Goods, the Seller shall have the right to contact the Buyer using the details provided in the Order in order to (re)adjust or verify the correctness of the data/documents submitted by the Buyer. In such case, the delivery period shall commence from the date of contact with the Buyer. The Seller shall be entitled to cancel the Buyer's Order without prior notice to the Buyer if it is not possible to contact the Buyer within 2 (two) working days, using the contact details provided by the Buyer, or if the Buyer refuses to provide the Seller with the requested data (documents), including, but not limited to, the Personal Data required to fulfil the Order and to establish the reliability of the method of payment.
    7. The Seller shall have the right, at its sole discretion and without the Buyer's separate consent, to split the purchase of the Goods of the Buyer's choice to be purchased (the Goods in the basket of a particular Seller) into separate Orders, unless the Buyer has indicated in writing prior to the confirmation of the orders, that the Buyer wishes to purchase the Goods in the basket in one single Order. Separate delivery charges may apply for each separate and, or split Order for Goods, as determined by the third party deliverer of the Goods. By accepting these Terms and Conditions, the Buyer agrees to pay the cost of delivery of the Goods ordered.
    8. The Seller undertakes to execute the Buyer's orders in accordance with the procedures set out in these Terms and Conditions and to communicate with the Buyer using the details provided in the Order.
    9. The Seller undertakes to respect the Buyer's privacy and to process the Buyer's Personal Data in accordance with the Rules, the Privacy Policy and the legislation of the Republic of Lithuania and the European Union.
    10. The Seller undertakes to deliver the Goods ordered by the Buyer and to accept the Buyer's returns or exchanges of the Goods in accordance with the terms and conditions and in accordance with the procedures set out in these Terms and Conditions.
    11. In a situation where the Seller is unable to deliver the goods ordered by the Buyer due to important circumstances, the Seller shall offer the Buyer a similar or analogous product sold by the Seller. In the event that the Buyer does not agree to the replacement of the product offered by the Seller, the Seller undertakes to refund the Buyer the money paid by the Buyer within 14 (fourteen) working days in the case of prepayment by the Buyer, and in all cases to cancel the Buyer's Order.
    12. The Seller undertakes to comply with other obligations imposed on the Seller by the Rules and the legislation of the Republic of Lithuania.
    13. The buyer has the right to use out-of-court complaint and redress procedures to resolve disputes between the seller and the consumer (Art. 6.2287(1)(16) of the CC). If the Buyer considers that his rights have been infringed, he must contact the Seller in writing within three months of the date of the infringement and state his claims. The Seller must examine the request free of charge within 14 days at the latest and provide a detailed reasoned written reply, supported by documents. If the problem cannot be resolved, the Buyer shall have the right to appeal to the entity that settles consumer disputes out of court (the State Consumer Rights Protection Service, address Vilniaus g. 25, LT-01402 Vilnius, www.vvtat.lt) or to the court.

    - Requests or complaints regarding possible violations of consumer rights may be submitted by the buyer to the electronic consumer

      4. ORDERING GOODS
      1. The Buyer may place an Order for Goods with the Seller online by registering or not registering on the Seller's website www.griliai.lt; by e-mail info@griliai.lt, by telephone or in the Seller's physical stores.
      2. The Parties shall be deemed to have entered into a Sales Contract upon the placing and confirmation of the Order. If the Buyer, having selected the Goods to be purchased online and having created a shopping cart, completes all the steps of the order, but does not complete the payment step, the Purchase and Sale Agreement shall be deemed to be concluded. The Buyer shall be informed of the confirmation of the Order by the e-mail address provided by the Buyer.
      3. By placing an Order, the Buyer accepts the Terms and Conditions and their application.
      4. When ordering the Goods, the Buyer shall provide the Seller with his/her Personal Data necessary for the proper execution of the Order, which shall be processed in accordance with the procedure provided for in the Privacy Policy.
      5. By accepting the Terms and Conditions, the Buyer agrees that the instructions in English for the ordered Goods shall be provided after the moment of acceptance of the Goods or at the same time with the Goods or by the Buyer's e-mail. All other essential information about the Goods and their features shall be contained in the Seller's product description www.griliai.lt
        5. PRICE OF THE GOODS AND PAYMENT PROCEDURE
        1. The Seller's prices for the Goods shall be quoted in Euro including VAT. The Buyer may pay for the ordered Goods by placing an Order in the manner of his choice: bank transfer, electronic banking, cash and or bank card at the time of delivery or collection of the Goods.
        2. By accepting the Terms and Conditions, the Buyer agrees that the purchase documents for the Goods, i.e. advance or regular VAT invoices, which are also the warranty documents for the Goods, may be provided to the Buyer physically together with the Goods, electronically at the e-mail address provided by the Buyer or via an Account created by the Buyer www.griliai.lt.
        3. The price of the Goods may change after the Seller has confirmed the Order only in exceptional cases where the price of the Goods has changed due to a technical error in the information systems, the correction of obvious errors (of the nature of a mistake) or for other objective reasons (with proof of these reasons). If in such case the Buyer does not agree to purchase the Goods at the new price, the Buyer may cancel the Order by informing the Seller in the Buyer's Account or by e-mail to info@griliai.lt. In such case, the Seller undertakes to refund to the Buyer all amounts paid by the Buyer under such cancelled Order.
        4. In all cases, the Buyer's refunds made in accordance with the Regulations shall be made to the same bank account from which the Buyer made payment for the Goods, and if the payment was in cash, the Buyer must provide the Seller with the Buyer's bank account number in order to return or exchange the Goods.
                6. DELIVERY OF THE GOODS
          1. The Buyer may collect the Goods from the Seller's shop or choose a delivery service.
          2. If the Buyer chooses to collect the Goods himself, he may collect them free of charge from the Seller's store of his choice. If the Buyer chooses this method at the time of placing the Order, the Ordered Goods must be collected no later than 2 (two) working days after the Seller notifies the Buyer by e-mail that the Goods are available for collection. The Goods may only be collected by the person who placed the Order or by the person indicated at the time of placing the Order. A valid proof of identity must be carried and presented to the Seller when collecting the Goods.
          3. If the Buyer chooses to have the Goods delivered to the address specified in the Order, the Buyer undertakes to specify the exact place of delivery, the exact contact details and undertakes to collect the Goods himself.
          4. A valid proof of identity must be presented upon acceptance of the Goods. If the Buyer does not accept the Goods himself, although the Goods have been delivered to the address indicated by the Buyer, the Seller shall be entitled to hand over the Goods to another person at the address indicated by the Buyer, and the Buyer shall not be entitled to make any claim against the Seller in respect of the delivery of the Goods to the wrong person.
          5. For individual Goods, the cost of delivery may be included in the price of the Goods or a separate delivery charge may apply (depending on the type of Goods, weight, etc.). The Buyer agrees that in certain cases the Buyer will be required to pay the price of the Goods and the cost of delivery of the Goods.
          6. The delivery times specified in the description of the Goods and, or in the Order, are indicative. The Seller shall deliver the Goods to the Buyer in accordance with the terms set out in the order confirmation. The Seller undertakes to deliver the Goods between 2 and 10 calendar days after the date of confirmation of the Order, unless the parties have agreed in writing on other delivery terms. The delivery terms shall not apply in cases where the Seller's warehouse does not have the goods required and the Buyer is informed of a shortage of the goods ordered. By accepting these Terms and Conditions, the Buyer agrees that in exceptional circumstances the delivery of the Goods may be delayed due to unforeseen circumstances beyond the Seller's control. In such event, the Seller undertakes to contact the Buyer immediately to agree the terms and conditions of delivery of the Goods. If the Seller fails to deliver the Goods within the time limit specified in the order and the Parties do not agree on an additional time limit for delivery of the Goods, the Buyer may withdraw from the Sale and Purchase Agreement in accordance with the procedure set out in Section VIII of the Conditions.
          7. At the time of delivery of the Goods to the Buyer, the Buyer shall sign the Goods transfer and acceptance document together with the Seller's authorised representative who delivers the Goods. Once the Buyer has signed the delivery acceptance document, the Goods shall be deemed to have been delivered in proper condition, without any damage (such as can be detected by external inspection of the Goods). If the Buyer notices at the time of acceptance of the Goods that the packaging of the delivered Goods or the Goods themselves are damaged (wrinkled, wet or otherwise externally damaged) or are not in the correct condition, the Buyer shall note this in the handover - acceptance document and, in the presence of the courier, and in the case of physical collection of the Goods at the Store, in the presence of the Seller's representative, shall draw up a free-form act of damage to the Goods or to the shipment of Goods. If the Buyer fails to do so, the Seller shall not be liable for any damage to the Goods where such damage can be detected by external inspection of the Goods (i.e. such damage does not constitute a factory defect or a lack of conformity of the Goods).
          8. The Seller shall be exempt from liability for breach of the time limits for delivery of the Goods if the Goods are not delivered to the Buyer or are not delivered on time due to the fault of third parties or due to circumstances beyond the Buyer's control.
          9. The risk of accidental perishability or damage to the Goods shall pass to the Buyer from the moment the Goods are handed over to the Buyer.
                7. GUARANTEE OF GOODS
          1. The Goods offered for purchase by the Seller are new and of suitable quality. The Seller grants a guarantee of quality for certain different types of Goods, valid for a certain period of time, the specific term and other conditions of which shall be specified in the description of such specific Goods, which shall be set out in www.griliai.lt in the range of Goods, for each specific Goods, separately.
          2. In cases where, in accordance with the law, a certain shelf life is established for specific Goods, the Seller undertakes to sell such Goods to the Buyer in such a way that the Buyer has a realistic opportunity to use such Goods before the expiry of the shelf life.
          3. The Seller does not provide after-sales service for the Goods as the Seller is not the manufacturer of the Goods sold. Warranty service is provided by the manufacturer of the specific Goods. During the Warranty Period, if the Buyer wishes to exercise the rights under the Warranty, the Buyer must contact the Seller in writing or by e-mail at info@griliai.lt to the Seller, specifying the Goods which are deemed to be in need of warranty service, specifying the defects in the Goods, the date of purchase of the Goods and any other detailed information relevant for the assessment of the warranty service. The Buyer shall be provided with a reply after receiving a reply from the manufacturer of the Goods (the reply shall be provided directly by the Seller and or the manufacturer of the Goods).
          4. Warranty service shall not apply to Goods which have been mechanically or otherwise damaged (whether intentionally or negligently damaged, exposed to chemicals, water, open flames, high temperatures, sharp objects, etc.), or where the rules of use or storage of the Goods have been violated, or where the Goods have been used improperly or not for their intended purpose), but the specific terms and conditions of the warranty service are set out in the manufacturer's warranty of the specific Goods.
            8. WITHDRAWAL FROM THE CONTRACT OF SALE
            1. The Buyer shall have the right to withdraw from the Contract of Sale and Purchase of the Goods by notifying the Seller in writing or by e-mail within 14 (fourteen) days from the date of receipt of the Goods without giving any reason (except for the provisions of Article 6.228 of the Civil Code).10 Article 3.3(2), in cases where the Buyer is a natural person).
            2. If the Buyer has withdrawn from the Sale and Purchase Agreement while the Goods are being delivered but have not yet been delivered to the Buyer, the Buyer shall notify the Seller in writing or by e-mail. In such case, the Seller shall cancel the Order and refund the money paid in advance under the Order to the Buyer within 14 (fourteen) working days.
            3. If the Buyer has withdrawn from the Purchase and Sale Agreement after the Goods have been delivered or after the Buyer has collected the Goods, the provisions of Section 9 of the Regulations shall apply to the return of the Goods.
              9. RETURN AND EXCHANGE PROCEDURES
              1. The Buyer shall have the right to return the Goods within 14 (fourteen) days from the date of their acceptance (receipt). The returned Goods must be accompanied by the authentic labels, protective bags and original packaging, in a single-use, undamaged packaging, i.e. the Goods must be in the same condition as when sold. In order to exercise this right of return, the Buyer shall, within the specified period of 14 (fourteen) calendar days from the date of purchase of the Goodsacceptance (receipt) the Seller in writing or by e-mail.
              2. The Buyer shall also have the right to replace the purchased Goods with analogous or very similar Goods within 14 (fourteen) days from the date of delivery (receipt) or collection. The Buyer wishing to replace the purchased Goods within the aforementioned period of 14 (fourteen) days must contact the Seller by e-mail.
              3. In the event that a price difference arises during the exchange of the Goods, the Buyer shall settle with the Seller according to the recalculated prices: in the event that an additional amount is payable, the Buyer shall pay it by one of the methods provided for in Clause 29 of the Regulations. In the event of an overpayment by the Buyer, the Seller shall reimburse the Buyer for the difference in price within 14 (fourteen) days from the date of delivery/receipt or collection of the replaced Goods to the Buyer.
              4. If the Seller does not have a replacement Product, the Seller shall refund the money paid for the Product to the Buyer. The Buyer shall be refunded within 14 (fourteen) calendar days from the date on which the Goods to be replaced are returned to the Seller.
              5. If the Buyer has been delivered the wrong Goods, the Buyer must inform the Seller immediately, but not later than within 7 (seven) working days. In this case, the Seller shall initiate the collection of the Goods from the Buyer and refund the Buyer within 14 (fourteen) working days from the date of collection.
              6. The Buyer shall also have the right to replace or return the Goods of unsatisfactory quality. The Buyer may exercise this right within the quality guarantee period for the specific Goods set out in the purchase document.
              7. Defects in the Goods sold shall be eliminated, and defective Goods shall be replaced or returned in accordance with the procedure set out in the Rules and in accordance with the requirements of the legislation of the Republic of Lithuania, including, but not limited to, the provisions of Article 6.332 of the Civil Code of the Republic of Lithuania. The Buyer shall not be entitled to terminate the Purchase and Sale Agreement if the defect of the Goods is minor or the warranty period of the Goods has expired.
              8. In all cases, the Goods must be returned to the Seller before the expiry of the warranty period for such Goods from the date of delivery (receipt) or collection of the Goods.
              9. Money for defective Goods shall be refunded to the Buyer within 14 (fourteen) days from the date of their acceptance (receipt) by the Seller. The Seller shall have the right not to refund the money paid to the Buyer any longer until the returned or replaced Goods have been inspected by the Seller and, or the manufacturer of the Goods. If the Goods are found to be defective in quality, the money paid by the Buyer shall be refunded to the Seller within 14 (fourteen) working days from the date of discovery of such defect, which shall be no later than 14 (fourteen) days from the date of acceptance of the Goods (receipt) by the Seller.
              10. When returning the Goods, the Buyer shall provide the address of the sender and shall pack the Goods properly and completely so that they are not damaged during shipment. The Buyer shall be responsible for the safe and proper return of the Goods to the Seller up to the moment of acceptance (receipt) of the Goods by the Seller. The Buyer shall pay the costs of returning the Goods, which shall only be refunded to the Buyer if the Goods are found to be defective.
              11. The Seller shall not be liable for parcels sent by the Buyer with improper packaging or address, or if the parcels are lost or damaged during return to the Seller. The Buyer shall be responsible for this and the risk of accidental damage or destruction shall pass to the Seller from the moment of acceptance of the Goods (return).
              12. No refund shall be made for Goods which have been intentionally or negligently damaged (by chemicals, water, open flame, high temperature, sharp objects, etc.), for Goods which have been returned defective, for Goods which have been returned in violation of the rules of use or storage, or for Goods which have been used improperly or for an improper purpose.
                10. LIABILITY OF THE PARTIES
                1. The Buyer shall be responsible for the storage and, or transfer to third parties, of any Personal Data and data required for logging in to the Account by registering an Account through the Account. If any third party logs in through www.griliai.lt using the Buyer's login details, the Seller shall be deemed to be the Buyer and the Seller shall not be liable for any adverse consequences arising therefrom.
                2. The Seller shall be exempt from any liability in cases where the loss is caused by the Buyer's failure to read these Terms and Conditions and the Privacy Policy, despite having been given the opportunity to do so, in disregard of the Seller's recommendations and obligations.
                  11. FINAL PROVISIONS
                  1. These Terms and Conditions shall come into force from the date of their adoption and shall apply to the relationship between the Parties from the moment of the Buyer's approval www.griliai.lt at the time of placing an Order.
                  2. The law of the Republic of Lithuania shall apply to relations arising from these Terms and Conditions.
                  3. Any disagreement between the Parties shall be settled by negotiation. In the event of failure to reach an agreement, disputes shall be settled in accordance with the procedure established by the legislation of the Republic of Lithuania, with jurisdiction to be chosen in accordance with the Seller's registered office.
                  4. All information, documents related to the purchase of the Goods shall be provided through www.griliai.lt website and the contacts specified in the Buyer's Order. All documents, information sent to such contacts shall be deemed to be otherduly served on the other Party: if sent by registered mail, it shall be deemed to have been received on the third (3rd) day after the date of submission to the postal service, if sent by electronic means of communication, it shall be deemed to have been received 1 (one) day after the date of sending to the other Party.
